ACCEPTANCE OF TERMS

These General Terms and Conditions of Sale are available on the madeinwaw.com website or on request.  These apply between the parties unless waived in writing. Any order implies acceptance by the customer/buyer of our conditions and the negation of his own conditions of purchase and sale.

I-  PRODUCTS

​

The products offered for sale by Made in WAW! are those that appear on the website, on the day of consultation of the site by the customer, within the limits of available stocks. However, some products may still be under development.  and/or in the process of being marketed. 

For each of the Made in WAW! you will find all of its characteristics on the site, so you have the possibility of knowing, before the final validation of your order, all the essential characteristics.  As far as possible, we encourage you to discover the pieces exhibited at trade fairs and/or at our other retailers. Visualization on the site does not always make it possible to fully appreciate and restore the colors of the models and/or the materials. In addition, the configurations of computer stations and monitors may show the buyer some variations from reality.  Consequently, the responsibility of Made in WAW! can not be engaged because of a marginal nuance between the colors or / and material visualized and the colors or / and material of the product as delivered.  The buyer acknowledges that the use he can make of the products ordered is limited to a use consistent with their destination.

II-  PRICES & CONDITIONS

You will find all the prices on the tariff brochure.

Product prices may be modified by MADE IN WAW! in the event of an unanticipated event or other production contingencies. Made in WAW! reserves the right to be able to modify its conditions of sale at any time.  In this case, the applicable conditions and prices will be those in force on the date of the customer's order.

The prices indicated are exclusive of delivery costs.

We will consult our various transport providers, in order to offer you the most suitable offer for your order.  Any request for a specific price (discount on quantity, prescriber price, etc.) will be studied on presentation of proof.  Depending on your needs, a tailor-made offer will be formulated on the proforma invoice.  The terms of payment, as well as the terms of delivery are established according to the quantities and specific to each product. These will be contractualized in our price offer, on the proforma invoice.

III-  ORDERS

​

All the prices mentioned on the proforma invoice are de facto considered as accepted by the buyer.  The sales agreement is always deemed to have been concluded at the head office. 

In order to process your request as well as possible, please provide us with your contact details and billing information, delivery address, intra-community VAT number, desired quantities and any other information necessary for the publication of a price offer according to your specific needs. .  A proforma invoice will then be issued, which includes in particular the terms of delivery and terms of payment.  To validate your order, the proforma invoice must be returned to us signed.  Orders taken by our representative only become final after our written confirmation.

We recommend that you place your orders at the beginning of the week, so that the products will not be stored on the weekends on the loading platforms of our carriers and breaks in load will be minimized.

IV  -  TAXES

​

For purchases and deliveries outside France, the buyer agrees to pay all taxes relating to the importation of products and goods, customs fees, value added taxes, or any other tax applicable in the country of receipt. of the merchandise. 

As part of an order:

- In France, the prices are indicated exclusive of tax (HT). The recommended public price including VAT is indicated according to the current VAT rate.

- Within the EU, in order to benefit from the reverse charge system, please provide us with your Intracom VAT number. (VAT exemption, article 262 ter, I of the General Tax and Reverse Charge Code) 

- Outside the EU, article 262 I of the CGI stipulates the exemption from VAT.

V-  PAYMENT

​

The payment of the order implies acceptance of the general conditions of sale by the customer. The price invoiced to the customer is the price indicated on the Proforma invoice sent by email. If you choose to pay by bank transfer, it must be made to the company's account, mentioned in the document [Company data / Company information]. The order validated by the customer will only be considered effective when the bank payment centers concerned have given their agreement. In case of refusal of the said centers, the order will be automatically canceled and the customer notified by e-mail. By the way, Made in WAW  ! reserves the right to refuse any order from a customer with whom there is a dispute.

It is agreed between the two parties:

A) Invoices are payable by proforma. In the event of late payment, compensation will be payable calculated on the basis of three times the legal interest rate in force (art. 53 of the NRE Law) as well as a lump sum compensation for recovery costs of €40 (C . Com. art. D441-5). 

B) In the event of an order for partial shipment of the products, the invoices for each shipment must be paid individually, in advance, without delay. 

C) In the context of a partial payment, with deposit, according to the conditions mentioned on the order form, the transport and/or shipping costs are due in full before the shipping order

VI - TRANSPORT &  DELIVERY

​

It is understood between the two parties that the products are shipped upon receipt of full payment.  The authentic date for the estimate of delivery times is therefore that of the invoice.  Delivery dates are always communicated to you for your information. No delay can give rise to resolution at our expense, nor to damages.

In the event of force majeure, the seller is released from its obligation to deliver.  Consequently, any reasonable delay in the delivery of the products cannot give rise to the benefit of the buyer: the allocation of damages; cancellation of the order. The risk of transport is fully borne by the buyer.

The price agreements with our service providers allow us to offer you the best offers relating to your needs and your order. Please provide us with all the information necessary to process your delivery request.

In agreement with our transport providers, we take care to protect the products. The merchandise travels at the risk and peril of the recipient. It is very important to take the time to check the condition of the goods upon receipt in the presence of the driver, even if the condition of the package seems "normal". Any anomaly (transport damage, shortage, etc.) must be detailed on the delivery note, dated and signed. Any complaint reported after the departure of the driver or delivery person cannot be taken into account.

VII-  RETENTION OF OWNERSHIP

​

It is expressly agreed that the delivered goods remain the entire property of Made in WAW! until full payment. In case of non-payment, Made in WAW! reserves the right to cancel the sale and take back the goods, even if they are with third parties, all at the expense of the buyer, who will also be liable for fixed damages of 20% of the price.

VIII-  COMPLAINTS & RETURNS

​

The products sold must be fully checked upon receipt. In the event of goods missing or damaged during transport, the buyer must make all the necessary reservations on the delivery note, upon receipt of the said goods. These reservations must also be confirmed in writing on the day of delivery, by registered mail AR.  Any complaint sent after the delivery date will not be taken into account. In the event of a complaint established in writing, within the time limits, justified and accepted by Made in WAW!, the defective products will then be replaced, without compensation.

IX-  GUARANTEES

​

Made in WAW! guarantees that all the products in its catalog are manufactured exclusively in France and in Europe.  In any case Made in WAW! cannot be held responsible for non-compliance with the regulations and laws in force in the country of receipt, the responsibility of Made in WAW! is systematically limited to the value of the product in question, value on its date of sale and this without the possibility of recourse to the brand or the company producing the product.

X-  FORCE MAJOR

​

The delivery of products may be partially or totally interrupted by Made in WAW! in the event of problems resulting from involuntary external circumstances and not attributable to Made in WAW! affecting production, sales and shipping such as: technical production problems, closing of factories, natural disasters, general strikes or even restriction of the supply of raw materials useful for the production of the products sold. Under the exceptional circumstances mentioned above Made in WAW! cannot be held responsible in the event of non-delivery of the products.

XI-  DISPUTES

These general conditions are governed, interpreted and applied in accordance with French law, the language of interpretation being the French language in the event of a dispute over the meaning of a term or a provision of these conditions of sale and use. All disputes arising from this contract and not resolved by mediation will fall under the exclusive jurisdiction of the Commercial Court or Judicial Court of Tours, regardless of the place of delivery. In the event of a dispute, an amicable solution will be sought before any legal action.  

XII-  LEGAL INFORMATION

The information of personal information collected for the purposes of distance selling is mandatory, this information being essential for the processing and delivery of orders, the establishment of invoices and warranty contracts. The lack of information leads to the non-validation of the order. In accordance with the law "Informatique et Libertés" (article 34 of the law of January 6, 1978), the customer has a right to access, modify, rectify and delete data concerning him, which he can practice with Made in WAW! Also, Made in WAW! undertakes not to communicate, free of charge or with compensation, the contact details of its customers to a third party.
